CISO Games: Terms of Use

These Terms of Use ("Terms") govern your access to and use of the CISO Games Inc. website located at cisogames.com (the "Site"), as well as your participation in any CISO Games events, programs, newsletters, or related activities. By accessing or using the Site in any capacity, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

CISO Games Inc. ("CISO Games," "we," "us," or "our") reserves the right to update these Terms at any time. Your continued use of the Site following any changes constitutes your acceptance of the revised Terms.

1. Use of the Site


1.1 You may use the Site for lawful, personal, and professional purposes consistent with your interest in CISO Games programs, events, sponsorships, and community activities.


1.2 You agree not to misuse the Site in any way, including but not limited to:

  • Attempting to gain unauthorized access to any part of the Site or its underlying systems

  • Using the Site for any illegal, fraudulent, or harmful purpose

  • Distributing malware, viruses, spam, or any other harmful or disruptive code

  • Scraping, crawling, or harvesting data from the Site without our express written consent

  • Impersonating CISO Games, its founders, athletes, sponsors, or any other person or entity

  • Interfering with or disrupting the integrity or performance of the Site


1.3 We reserve the right to suspend or terminate your access to the Site at any time, without notice, if we determine that you have violated these Terms or engaged in conduct harmful to CISO Games, its community, or its partners.


2. Intellectual Property


2.1 All content on the Site — including but not limited to text, images, logos, graphics, video, audio, game formats, the CISO Games name, the CISO Games Shield, The Wheel format, bracket systems, and all associated brand assets — is the exclusive property of CISO Games Inc. or its licensors and is protected by applicable copyright, trademark, and intellectual property laws.


2.2 The following are registered or common law trademarks of CISO Games Inc.:

  • CISO Games™

  • The Torch™

  • The Wheel™

  • CISO Games Tournament of Champions™


2.3 You may not reproduce, distribute, modify, publicly display, publicly perform, create derivative works from, or use any content from the Site for commercial purposes without the prior written consent of CISO Games Inc.


2.4 Limited personal, non-commercial use of Site content is permitted provided that all copyright and trademark notices are preserved and no content is altered or misrepresented.


3. Athlete Participation Terms


3.1 Participation as an athlete in any CISO Games tournament or event requires submission of a completed athlete application, acceptance by the CISO Games team, and execution of a signed athlete agreement including a media release form prior to competing.


3.2 All competing athletes must be 18 years of age or older.


3.3 Athletes are required to disclose any pre-existing physical conditions or injuries that may affect their ability to safely participate in physical competition. CISO Games reserves the right to require medical clearance before allowing participation.


3.4 All athletes compete at their own risk. Physical activities at CISO Games events carry inherent risks of injury. By participating, athletes acknowledge these risks and agree to hold CISO Games Inc., its founders, employees, contractors, sponsors, and event partners harmless from any claims arising from participation in CISO Games events, to the fullest extent permitted by law.


3.5 Athletes must conduct themselves with professionalism and respect toward fellow competitors, sponsors, staff, and spectators at all times. CISO Games reserves the right to disqualify any athlete whose conduct is deemed harmful, disrespectful, or inconsistent with the values of the CISO Games community.

3.6 Athlete participation in CISO Games events does not create an employment, contractor, or agency relationship between the athlete and CISO Games Inc.


4. Sponsorship Terms


4.1 All sponsorship arrangements are governed by a separate written sponsorship agreement executed between the sponsoring entity and CISO Games Inc. These Terms apply in addition to, and do not supersede, any executed sponsorship agreement.


4.2 Sponsorship slots are sold on a first-come, first-served basis subject to category availability. CISO Games enforces strict category exclusivity — one company per category per event. Once a category is sold, it will not be resold to a competing entity within the same season without the existing sponsor's written consent.


4.3 Sponsorship fees are non-refundable except as expressly provided in the executed sponsorship agreement. CISO Games reserves the right to cancel or reschedule events due to circumstances outside our control. In such cases, sponsors will be offered credit toward a future event of equal or greater value.


4.4 Vendor Athletes competing as part of a team sponsorship are bound by the same athlete participation terms outlined in Section 3 of these Terms.


4.5 Sponsors may not use CISO Games branding, the CISO Games name, or any associated trademarks in their own marketing materials without the prior written approval of CISO Games Inc.


5. Media and Content


5.1 All content produced at CISO Games events — including match footage, highlight films, medal ceremony recordings, athlete interviews, social media clips, and newsletter content — is the exclusive property of CISO Games Inc.


5.2 Athletes and event participants grant CISO Games Inc. a perpetual, worldwide, royalty-free license to use their name, image, likeness, and participation footage in connection with CISO Games programming, marketing, and distribution across all channels, by signing the required media release form prior to competing.


5.3 Sponsors receive content packages as outlined in their sponsorship agreements. Sponsor content packages are licensed for the sponsor's own marketing use and may not be sublicensed, sold, or transferred to third parties without written consent from CISO Games Inc.


5.4 Any unauthorized recording, reproduction, or distribution of CISO Games event content is strictly prohibited and may result in legal action.


6. User-Submitted Content


6.1 If you submit any content to CISO Games through the Site, email, social media, or any other channel — including comments, testimonials, application materials, or feedback — you represent that you have the right to submit such content and that it does not infringe the rights of any third party.


6.2 Submitted content must not contain material that is unlawful, defamatory, harassing, obscene, or otherwise objectionable.


6.3 By submitting content to CISO Games, you grant us a non-exclusive, royalty-free, perpetual, worldwide license to use, reproduce, modify, adapt, publish, and display that content in connection with CISO Games operations and communications.


7. Membership Terms


7.1 CISO Games membership programs, where offered, are subject to specific membership terms presented at the point of registration. Membership fees, if applicable, are non-refundable unless otherwise stated at the time of purchase.


7.2 Membership benefits are personal and non-transferable. CISO Games reserves the right to modify, suspend, or discontinue membership benefits at any time with reasonable notice to members.


8. Newsletter — The Torch


8.1 By subscribing to The Torch, you consent to receive regular email communications from CISO Games Inc. regarding tournament updates, athlete features, event announcements, and sponsorship opportunities.


8.2 You may unsubscribe from The Torch at any time using the unsubscribe link included in every edition or by contacting us directly at info@cisogames.com. Unsubscribing from the newsletter does not affect communications related to your active athlete registration or sponsorship agreement.


9. Third-Party Links and Services


9.1 The Site may contain links to third-party websites, platforms, and services including but not limited to Substack, Calendly, LinkedIn, and social media platforms. These links are provided for your convenience only.


9.2 CISO Games is not responsible for the content, accuracy, policies, or practices of any third-party website or service. Accessing third-party links from the Site is done at your own risk and is subject to the terms and privacy policies of those third parties.


10. Disclaimer of Warranties


10.1 The Site and all content, programs, and services offered through it are provided on an "as-is" and "as-available" basis without warranties of any kind, express or implied.


10.2 CISO Games makes no representations or warranties regarding the accuracy, completeness, reliability, or timeliness of any content on the Site.


10.3 CISO Games does not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.


11. Limitation of Liability


11.1 To the fullest extent permitted by applicable law, CISO Games Inc., its founders, officers, employees, contractors, sponsors, and event partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site or participation in any CISO Games event or program.


11.2 CISO Games' total liability to you for any claim arising from these Terms or your use of the Site shall not exceed the amount you paid to CISO Games in the twelve months preceding the claim, if any.


12. Indemnification


You agree to indemnify, defend, and hold harmless CISO Games Inc. and its founders, officers, employees, contractors, sponsors, and event partners from and against any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising from your use of the Site, your participation in CISO Games events, your violation of these Terms, or your infringement of any third-party rights.


13. Governing Law and Dispute Resolution


13.1 These Terms are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to conflict of law principles.


13.2 Any disputes arising from or related to these Terms or your use of the Site or participation in CISO Games events shall be resolved exclusively in the state or federal courts located in the State of Texas.


13.3 Before initiating any formal legal proceeding, both parties agree to attempt to resolve disputes informally by contacting CISO Games at info@cisogames.com and allowing 30 days for a good-faith resolution.


14. Changes to These Terms


CISO Games Inc. reserves the right to modify these Terms of Use at any time. Changes will be effective upon posting to the Site with an updated effective date. It is your responsibility to review these Terms periodically. Your continued use of the Site following any changes constitutes your acceptance of the revised Terms. For material changes, we will make reasonable efforts to notify registered users via email.


15. Severability


If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be deemed severable from the remaining Terms and will not affect the validity or enforceability of the remaining provisions.


16. Entire Agreement


These Terms, together with our Privacy Policy and any executed sponsorship or athlete agreements, constitute the entire agreement between you and CISO Games Inc. with respect to your use of the Site and participation in CISO Games programs.
